GENERAL TERMS AND CONDITIONS
These General Terms and Conditions (hereinafter referred to as the “Terms and Conditions”) govern the relationship between VERDE ESMERALDA JAPÓN and its Clients in relation to the use of the Website at www.verde-esmeralda.com and the purchase of Products through the Online Store located at store.verde-esmeralda.com.
By accessing or using this Website, including placing an order or creating an Account, the Client agrees to be bound by these Terms and Conditions.
These Terms and Conditions apply to all users of the Website, regardless of whether they create an Account or complete a Purchase.
1. Definitions
VERDE ESMERALDA JAPÓN is a brand operated by Tequnicae Veritas Aequalitas, Inc. (TeVeAe, Inc.), an official importer with an exclusive distribution agreement in Asia with Verde Esmeralda Olive, S.L. TeVeAe, Inc. is a company duly incorporated under the laws of Japan, with its registered office at 3-2, Kyobashi 1-Chome, Chuo-ku, Tokyo 104-0031, Japan.
Website — the website available at www.verde-esmeralda.com, including its subdomains such as commercial.verde-esmeralda.com, olive.verde-esmeralda.com, and store.verde-esmeralda.com.
Content — all information available on the Website, including but not limited to text, images, multimedia content, product information, pricing, and communications.
Services — access to the Website and its Content, including the ability to create an Account and purchase Products through the Online Store.
Products — Extra Virgin Olive Oil (AOVE) and related items such as bottles, packaging, and accessories, manufactured by Verde Esmeralda Olive, S.L. or its authorized partners, and offered for sale through the Online Store.
Purchase — the act of ordering and paying for Products through the Online Store.
Online Store — the e-commerce platform available at store.verde-esmeralda.com.
Client — any individual who accesses the Website or purchases Products through the Online Store.
Account — a personal account created by the Client to access certain features of the Website.
Distance Contract — any contract concluded between VERDE ESMERALDA JAPÓN and the Client through the Online Store.
Communications — electronic messages, including promotional and informational communications, relating to Products and Services.
2. General
2.1. These Terms and Conditions govern the use of the Website, the Content, and the Services, including the purchase of Products through the Online Store.
2.2. By accessing or using the Website, including placing an order or creating an Account, the Client agrees to be bound by these Terms and Conditions.
2.3. The Website is accessible at www.verde-esmeralda.com, and purchases can be made through the Online Store at store.verde-esmeralda.com.
2.4. If the Client does not agree to these Terms and Conditions, they must refrain from using the Website and Services.
2.5. The Client may request deletion of their Account at any time by contacting VERDE ESMERALDA JAPÓN. Any obligations arising prior to such deletion shall remain in effect.
2.6. Acceptance of these Terms and Conditions is required to complete any Purchase.
2.7. The Website is available to all individuals; however, only Clients aged 18 years or above may make Purchases. By creating an Account or placing an order, the Client confirms that they meet this requirement.
2.8. Each Client may maintain only one Account. Sharing Account credentials is prohibited, and the Client is responsible for any activity conducted under their Account. VERDE ESMERALDA JAPÓN reserves the right to suspend or restrict access in case of misuse.
3. Content
3.1. All Content, including but not limited to images, text, multimedia content, design, software, databases, and information available on the Website, is owned by or licensed to VERDE ESMERALDA JAPÓN.
3.2. The Client may not use such Content without the prior written consent of VERDE ESMERALDA JAPÓN.
3.3. Notwithstanding clause 3.2, the Client may share links to the Content on social media platforms such as Facebook, X (Twitter), Instagram, Tumblr, Pinterest, and Snapchat, using the “share” buttons available on the Website.
4. Contact
4.1. When creating an Account or making a Purchase, the Client is responsible for providing accurate and complete personal information, including contact details.
4.2. By providing a contact form on the Website, VERDE ESMERALDA JAPÓN enables Clients to submit messages, questions, and inquiries related to the Services and Purchases.
4.3. By entering data on the Website, the Client agrees that VERDE ESMERALDA JAPÓN may contact the Client by email, telephone, or other appropriate means in relation to the Content, Services, Purchases, and Distance Contracts.
4.4. The Client also agrees to receive notifications and messages from VERDE ESMERALDA JAPÓN through their Account, where applicable.
5. Communications and Marketing
5.1. By selecting the option “Keep me up to date on news and exclusive offers” on the Website, the Client consents to receive communications, including promotional messages, from VERDE ESMERALDA JAPÓN related to its Products and Services.
5.2. The Client may opt out of receiving such communications at any time by:
5.2.1. clicking the unsubscribe link included in the communication;
5.2.2. contacting VERDE ESMERALDA JAPÓN by email.
5.3. Opting out of receiving communications does not affect the Client’s acceptance of these Terms and Conditions.
5.4. Communications may include information about products or services offered by VERDE ESMERALDA JAPÓN or its affiliated partners, where relevant.
6. Privacy Policy
6.1. VERDE ESMERALDA JAPÓN collects and processes Clients’ personal data in accordance with applicable data protection laws and regulations, including those applicable in Japan and, where relevant, in the jurisdictions of the Clients. Personal data may be processed for the following purposes:
- confirmation, delivery, and invoicing of orders;
- verification and processing of payments;
- handling order-related issues;
- provision of services and fulfilment of Distance Contracts;
- sending communications, including promotional messages, where requested by the Client;
- customer support and communication;
- statistical analysis and marketing research.
6.2. VERDE ESMERALDA JAPÓN may collect technical data (such as IP address, browser type, device information, and access time) to maintain, improve, and secure its Services.
6.3. VERDE ESMERALDA JAPÓN processes personal data primarily provided by the Client and may also receive certain data from service providers where necessary to fulfil orders or comply with legal obligations.
6.4. VERDE ESMERALDA JAPÓN uses personal data only for the purposes described above and does not sell or transfer such data to unrelated third parties.
6.5. Personal data may be shared with trusted service providers, including payment processors (such as Shopify Payments, PayPal, Checkout.com, Rakuten Pay) and delivery services (such as FedEx, Yamato Transport, Japan Post), only to the extent necessary for order processing and service delivery.
6.6. Personal data may be disclosed where required by applicable laws, regulations, or competent authorities.

6.9. Clients located outside Japan acknowledge and consent to the processing and storage of their personal data in Japan.
7. Products and Specifications
7.1. VERDE ESMERALDA JAPÓN may publish information on Products available in its catalogue on the Website, including promotional campaigns.
7.2. Products purchased through the Online Store are intended primarily for personal use by the Client and must be used in a lawful manner. Use of the Products for professional or commercial purposes, including resale, may be permitted upon prior agreement with VERDE ESMERALDA JAPÓN. VERDE ESMERALDA JAPÓN reserves the right to refuse or cancel orders where such use is not disclosed or agreed in advance.
7.3. Products may be offered in limited quantities. Availability is indicated on the Website; however, Products may become unavailable after an order is placed but before it is accepted or dispatched. In such cases, VERDE ESMERALDA JAPÓN shall notify the Client and offer a refund or alternative solution in accordance with clause 12.3.
7.4. Certain weights, measurements, and similar descriptions are approximate and provided for convenience only. VERDE ESMERALDA JAPÓN makes reasonable efforts to accurately display Product attributes, including colors; however, actual colors may vary depending on the Client’s device. Accordingly, VERDE ESMERALDA JAPÓN does not guarantee exact color accuracy.
7.5. VERDE ESMERALDA JAPÓN reserves the right to make minor changes and improvements to Products and collections, provided that their essential characteristics, including taste, quality, and overall style, are preserved.
8. Price Terms
8.1. VERDE ESMERALDA JAPÓN reserves the right to change the prices of Products offered in the Online Store without prior notice.
8.2. The applicable prices of Products are those displayed at the time the Client completes the Purchase.
8.3. Price discounts offered in the Online Store are those displayed at the time of purchase and are valid while stocks last and/or during the promotional period.
8.4. The price of Products shall not change after the Client has completed a Purchase.
8.5. All prices are in JPY and include applicable consumption tax in accordance with Japanese law. Prices may be displayed in approximate equivalents in other currencies (USD) for convenience.
8.6. All prices exclude shipping costs and any additional charges associated with the selected delivery method. The total cost, including all applicable fees, will be clearly indicated before the Client completes the order. By completing a Purchase, the Client agrees to pay the total amount indicated at checkout.
8.7. Shipping prices do not include customs duties or taxes. For shipments outside Japan, the recipient is responsible for any applicable customs fees, duties, taxes, or other charges.
9. Purchase
9.1. Clients aged 18 years or above may access the Online Store and place Purchases. VERDE ESMERALDA JAPÓN may restrict access to the Online Store based on the Client’s previous behavior without prior notice.
9.2. The Client may purchase any Product available in the Online Store.
9.3. The Client may place orders for Products that are not immediately available where a specified availability period is indicated (pre-orders). In such cases, the following rules shall apply:
9.3.1. In the event of delays in pre-ordered Products, VERDE ESMERALDA JAPÓN shall update the relevant Product information and notify affected Clients. The Client may withdraw the pre-order and request a refund.
9.3.2. Where multiple Products with different availability dates are ordered, VERDE ESMERALDA JAPÓN may fulfil the order once all Products are available. In case of delay, the Client may choose to receive available Products separately or cancel the delayed items and request a refund.
9.4. By completing a Purchase, the Client confirms that all information provided is accurate and complete. VERDE ESMERALDA JAPÓN may contact the Client electronically (including by email) for:
9.4.1. confirmation of Product availability and quantity;
9.4.2. confirmation of the total purchase value and applicable costs;
9.4.3. coordination of delivery.
9.5. Before dispatch of the Products, VERDE ESMERALDA JAPÓN may cancel the order with prior notice in the following cases:
9.5.1. incomplete or inaccurate information provided by the Client;
9.5.2. the Client’s actions while interacting with the Website may be harmful to the Website or its operation;
9.5.3. repeated failed transactions attributable to the Client.
9.6. The Client may cancel the Purchase if contacted by VERDE ESMERALDA JAPÓN under this clause.
9.7. A Purchase is considered completed only after full payment has been received.
10. Payments
10.1. Information on available payment methods for the purchase of Products and related delivery costs is provided in the Online Store. The Client may choose one of the following payment methods:
10.1.1. Credit card payment — payment is processed at the time the Client completes the Purchase. VERDE ESMERALDA JAPÓN may use third-party payment service providers such as Shopify Payments, Checkout.com, PayPal, and Rakuten Pay to facilitate such payments.
10.1.2. Payment via PayPal — payments are processed through PayPal and may be subject to PayPal’s terms and processing times.
10.1.3. Payment by bank transfer — bank transfer fees shall be borne by the Client. The Client must indicate the order number as the payment reference and complete the payment within three (3) days of placing the order. VERDE ESMERALDA JAPÓN reserves the right to cancel the order if payment is not received within this period.
10.2. The Client agrees to pay in advance using the selected payment method and in accordance with the terms of the relevant payment service provider(s). If payment is not received by VERDE ESMERALDA JAPÓN, the Purchase shall be deemed cancelled and the Distance Contract terminated.
10.3. If the Client changes their personal data without notifying VERDE ESMERALDA JAPÓN, all Distance Contracts shall be executed based on the previously provided information.
10.4. Upon request, VERDE ESMERALDA JAPÓN may provide the Client with information regarding the status of the Purchase, including updates available through the Client’s Account.
11. Delivery
11.1. VERDE ESMERALDA JAPÓN shall provide information on any delivery restrictions on the Online Store.
11.2. Purchased Products will be shipped to the address designated by the Client at checkout or in their Account.
11.3. The Client is entitled to receive the Products through a delivery service selected at the discretion of VERDE ESMERALDA JAPÓN or specified by the Client, where applicable. VERDE ESMERALDA JAPÓN shall arrange delivery accordingly.
Risk of loss or damage to the Products shall pass to the Client upon delivery to the Client.
11.4. Delivery times may vary depending on the Products and delivery location, typically ranging from seven (7) to fourteen (14) days from the completion of the Purchase, and in any case not exceeding thirty (30) days, except for pre-orders. Any indicated delivery times are estimates only.
11.5. If the Products cannot be delivered due to a circumstance attributable to VERDE ESMERALDA JAPÓN, the Client shall be informed without undue delay and a full refund, including delivery costs, shall be provided.
11.6. If delivery fails due to circumstances attributable to the Client (such as incorrect address or absence at delivery), and the Products are returned, VERDE ESMERALDA JAPÓN may issue a refund after deducting the actual shipping and return costs.
11.7. Upon delivery, the Client is responsible for inspecting the Products without undue delay. Any visible damage or discrepancy must be reported promptly. VERDE ESMERALDA JAPÓN shall not be responsible for damage resulting from improper handling or storage after delivery.
12. Quality and Guarantee
12.1. The Client is entitled to the legal guarantee provided under applicable consumer protection laws in Japan that the Products shall conform to the terms and conditions of the Distance Contract.
12.2. Without prejudice to the legal guarantee referred to in clause 12.1, certain Products may be offered with an additional contractual guarantee at the discretion of VERDE ESMERALDA JAPÓN. Details of such guarantees, if any, will be provided in the relevant product description or accompanying documentation.
Any contractual guarantee does not affect the Client’s statutory rights under applicable law.
12.3. VERDE ESMERALDA JAPÓN does not guarantee the availability of Products in the Online Store. If a Product becomes unavailable after a Purchase has been completed, the Client shall be notified without undue delay and shall be entitled to a refund of the price paid and any delivery costs actually incurred.
13. Returns and Refunds
13.1. The Client may request a return or refund only in the event of defective, damaged, or incorrect Products. Due to the nature of food products, returns for reasons other than defects or errors are generally not accepted.
13.2. To request a return, the Client must notify VERDE ESMERALDA JAPÓN by email at store@verde-esmeralda.com, providing the order number and details of the Products concerned.
13.3. Returns and refunds will not be accepted in the following cases:
13.3.1. where the Product has been opened or consumed;
13.3.2. where the Product has been damaged due to improper handling or storage after delivery;
13.3.3. where the request is made without reasonable grounds, except where required by applicable law.
13.4. Where a return is accepted, the Client must return the Products in their original condition and packaging within a reasonable period as instructed by VERDE ESMERALDA JAPÓN.
13.5. For international returns, the Client may be required to complete customs documentation. Any return shipping costs, duties, or related charges shall be borne by the Client unless otherwise agreed.
13.6. Returned Products shall be sent to the address designated by VERDE ESMERALDA JAPÓN.
13.7. In the case of defective or incorrect Products, VERDE ESMERALDA JAPÓN may, at its discretion, offer replacement, refund, or another appropriate remedy. Where applicable, reasonable return shipping costs shall be borne by VERDE ESMERALDA JAPÓN.
13.8. Refunds, where applicable, will be processed within a reasonable period after confirmation of the returned Products.
13.9. VERDE ESMERALDA JAPÓN reserves the right to withhold refunds until the returned Products have been received and inspected.
14. Security and Misuse
14.1. The Client is responsible for maintaining the confidentiality of their Account information and for any activities conducted under their Account.
14.2. VERDE ESMERALDA JAPÓN shall not be held responsible for any losses resulting from third parties impersonating representatives of VERDE ESMERALDA JAPÓN.
14.3. The Client shall promptly notify VERDE ESMERALDA JAPÓN of any unauthorized use of their Account or any security breach through the Website or by email.
14.4. VERDE ESMERALDA JAPÓN shall send communications only in accordance with applicable laws and regulations.
14.5. All communications sent by VERDE ESMERALDA JAPÓN shall clearly identify the sender and include accurate contact information.
14.6. The following actions constitute a breach of these Terms and Conditions, and VERDE ESMERALDA JAPÓN reserves the right to take appropriate legal action:
14.6.1. unauthorized access to another Client’s data or Account;
14.6.2. modification or misuse of Website content;
14.6.3. interference with the operation of the Website or its systems;
14.6.4. unauthorized sharing or access to restricted Content.
15. Responsibility
15.1. VERDE ESMERALDA JAPÓN shall not be liable for any damages, losses, or expenses resulting from a Client’s breach of the Distance Contract or these Terms and Conditions.
15.2. VERDE ESMERALDA JAPÓN makes reasonable efforts to ensure that the information on the Website is accurate and up to date; however, it does not guarantee that the Website will be free from errors or interruptions.
15.3. VERDE ESMERALDA JAPÓN shall not be responsible for any use of the Content by the Client that is inconsistent with its intended purpose.
15.4. To the extent permitted by applicable law, VERDE ESMERALDA JAPÓN shall not be liable for indirect or consequential damages arising from the use or inability to use the Website or its Content.
15.5. If a Client believes that any Content infringes their intellectual property rights or those of a third party, they shall notify VERDE ESMERALDA JAPÓN without undue delay.
15.6. All intellectual property rights in the Website and its Content are owned by or licensed to VERDE ESMERALDA JAPÓN. The Client may not use such Content without prior authorization.
15.7. VERDE ESMERALDA JAPÓN shall not be responsible for the content, availability, or practices of third-party websites accessed through links on the Website.
15.8. The Client is solely responsible for their use of the Website and agrees to comply with applicable laws and these Terms and Conditions.
16. Dispute Resolution and Applicable Law
16.1. In the event of a dispute between the Client and VERDE ESMERALDA JAPÓN arising out of or in connection with these Terms and Conditions, the parties will first attempt to resolve the dispute amicably through negotiations. If no agreement is reached within one (1) month, the dispute shall be submitted to the competent court in Tokyo, Japan.
16.2. If any provision of these Terms and Conditions is found to be invalid or unenforceable by a competent authority, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions shall remain in full force and effect.
16.3. These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan.
17. Final Provisions
17.1. VERDE ESMERALDA JAPÓN reserves the right to modify the Website, its structure, Content, and Services at any time without prior notice.
17.2. VERDE ESMERALDA JAPÓN may update these Terms and Conditions at its discretion. Any changes will be published on the Website.
If the Client does not agree to the updated Terms and Conditions, the Client may cease using the Website or request termination of their Account by contacting VERDE ESMERALDA JAPÓN. Continued use of the Website constitutes acceptance of the updated Terms and Conditions.
These Terms and Conditions were adopted on May 2, 2020, amended on March 30, 2026, and are effective as of that date.
